Pursuant to Article 13, paragraph 1 of the Decision on Amendments to the Founding Act of the Public Enterprise “Putevi Srbije“ (“Roads of Serbia“), Belgrade (“Official Gazette of the Republic of Serbia“, No. 105/2025), the function of the Company’s Assembly is performed by the Founder through an authorized representative who participates in the work of the Assembly on behalf of the Founder, including exercising the Founder’s voting rights, and who simultaneously serves as the Chairperson of the Company’s Assembly.
Article 17, paragraph 1 stipulates that the Company’s Assembly:
- adopts amendments to the Founding Act;
- decides on the acquisition, sale, lease, pledging or other disposal of the Company’s high-value assets;
- decides on capital investments;
- decides on increases or decreases in share capital;
- decides on status changes and changes in the legal form of the Company;
- decides on the distribution of profits and the coverage of losses;
- adopts the Company’s established overall annual objective;
- appoints and dismisses members of the Supervisory Board and determines their remuneration in accordance with applicable regulations:
- establishes the Commission for the Appointment of the Supervisory Board and determines the procedure for the selection of Supervisory Board members;
- adopts the reports of the Supervisory Board;
- adopts the Company’s business reports, financial statements and auditor’s reports;
- adopts the Company’s price list for products and services;
- decides on the initiation of liquidation proceedings or the submission of a bankruptcy petition;
- appoints the auditor and determines the auditor’s remuneration;
- decides on the valuation of the Company’s capital;
- decides on changes to the Company’s business activity, registered office and business name;
- decides on the initiation of proceedings and the granting of powers of attorney for the Company’s representation in disputes involving a member of the Supervisory Board or a procurator;
- decides on the establishment and closure of the Company’s branches;
- approves the conclusion of international financial agreements/contracts and amendments thereto; and
- performs other duties and decides on other matters in accordance with the law.
Government approval is required for the acts referred to in paragraph 1, items 1), 2), 3), 4), 5), 12), 13) and 15) of this Article.
Acts requiring Government approval shall be deemed adopted on the date such approval is granted.
The act referred to in paragraph 1, item 8) of this Article shall be adopted following consultations with the Ministry.
